לאחרונה הובאה בפני בית המשפט הכלכלי עתירה מנהלית שבמוקדה עמדה השאלה האם כל החלטה מהותית שיפוטית או מעין-שיפוטית (פסק-דין או פסק בוררות) העוסקת בעניין עקרוני של חברה ציבורית היא החלטה שעל החברה לפרסמה במלואה בדיווח מיידי, בנוסף לדיווח מיידי תמציתי המתפרסם אודות עיקרי ההחלטה. בין הצדדים לעתירה לא הייתה מחלוקת כי פסק הבוררות הוא החלטה מהותית שהיה מקום לדווח אודותיה אלא רק על היקף הגילוי.
כיל היא בעלת זיכיון ממדינת ישראל לניצול משאבי ים-המלח, תמורתו התחייבה לשלם תמלוגים למדינה. עניינו של פסק הבוררות (החלקי) הוא בהפרת חובתה של כיל לשלם תמלוגים שהיה עליה לשלם. בחודש מאי 2014 פרסמה כיל דיווח אודות פסק הבוררות ולפיו ניתן פסק בוררות חלקי בעקבותיו יש למצות את המשא-ומתן בין הצדדים ביחס לגובה התמלוגים. עוד צוין, כי אם לא תהיה הסכמה יחזור הדיון לבוררות לנושא התחשיבים, וכי בגין פסק הבוררות החלקי כיל תרשום הפרשה בדוחות הכספיים שלה בסכום של 135 מיליון דולר.
העותרת, שהיא בעלת מניות בכיל, טענה כי פסק הבוררות הוא החלטה מהותית וקרדינאלית, בעלת השפעה מהותית על התוצאות הכספיות של כיל ושל עסקיה. לגישתה, הדיווח של כיל היה לקוני וכלל כשלושה עמודים בלבד, אף שאורכו של פסק הבוררות הוא 77 עמודים. העותרת פנתה אל כיל ודרשה ממנה לפרסם את הפסק המלא אך סורבה. כתוצאה מכך פנתה העותרת לרשות ניירות ערך וביקשה כי היא תורה לכיל לפרסם את הפסק המלא, אך סורבה גם על ידה. החלטתה זו של הרשות היא שעמדה ביסוד העתירה.
העותרת טענה כי ישנם עניינים שצוינו בפסק הבוררות ולא דווחו במסגרת הדיווח של כיל אודותיו, שהם עניינים שלמשקיע סביר חשוב לדעת אודותיהם, לדוגמה קביעתה של הבוררת כי מפעלי ים-המלח פעלו בניגוד להוראות שטר הזיכיון בכך שלא מסרו למדינה את כל הנתונים הדרושים לחישוב התמלוגים.
תקנה 36 לתקנות ניירות ערך (דוחות תקופתיים ומידיים) התש"ל–1970 קובעת שחברה חייבת לפרסם פרטים בדיווח מיידי על כל אירוע שעשויה להיות לו השפעה מהותית על החברה או על מחיר נייר-הערך. בית המשפט פירש כי מכלל ההן נשמע הלאו, כלומר אין חובה לפרסם מידע שאינו מהותי. בפסק דינו קבע בית המשפט כי מכיוון שהחלטות שיפוטיות (ובכלל זה פסק הבוררות נושא העתירה דנן) עשויות לכלול גם מידע שאינו מהותי עבור המשקיעים, מידע כזה אינו טעון פרסום. בנימוקיו ציין בית המשפט כי המחוקק הטיל את מלאכת הסינון של המידע ואת ההכרעה בשאלה מהו המידע המהותי שאותו יש לגלות למשקיעים, על החברה. בסינון הזה יש כדי להועיל למשקיעים, שלא יצטרכו להיחשף לכמויות גדולות של מידע מיותר אלא רק למידע הנחוץ עבורם.
עוד הוסיף בית המשפט כי תהליך הסינון שעל החברה לבצע עבור המשקיעים נדרש לא רק ביחס להחלטות משפטיות אלא גם ביחס למסמכים אחרים שחברה עשויה להידרש לדווח אודותיהם – הסכמים, רישיונות, זיכיונות, החלטות של אורגנים של החברה ועוד. גם ביחס למסמכים הללו מחיל בית המשפט את אותו הכלל לפיו החברה אינה חייבת ואף אינה אמורה להמציא לידיעת המשקיעים את המסמך הגולמי (למעט במקרים חריגים בהם המסמך כולו מהותי).

Recently an administrative petition was filed with the Economic Court at the centre of which was the question whether each material court decision or other judicial award (judgment or arbitral award) which is concerned with a principle matter of a public company is a decision which the company is required to publish in full together with the immediate report in addition to the summary of the main points of such decision which is included in such immediate report.   As between the parties to the petition there was no dispute that a material award or judgment should be reported, the dispute was as to the scope of the disclosure.
Israel Chemicals Ltd (ICL) is the holder of a license from the State of Israel for the exploitation of the resources of the Dead Sea, in consideration for which ICL undertook to pay royalties to the State.
The issue in the partial arbitration award was the breach of ICL's obligation to pay the royalties it had undertaken to pay.  In May 2014, ICL published a report on the said arbitration award and this report stated that a partial arbitration award was handed down as a result of which the parties need to exhaust the negotiations concerning the amount of the royalties.  It was also mentioned that should there be no agreement the matter would be returned to arbitration on the question of the calculation.  The immediate report also indicated that in respect of this partial arbitration award, ICL will make a provision in its financial statements of some US$ 135 million.
The petitioner, who is a shareholder in ICL, claimed that the arbitration award is material and cardinal and is capable of bringing about a material impact on the financial results of ICL and its business. According to the petitioner, ICL's report was laconic and comprised only 3 pages even though the arbitration award is some 77 pages. The petitioner approached ICL and asked it to publish the full award, but ICL refused.  As a result of that, the petitioner approached the Securities Authority and asked that it would order ICL to publish the full award, but the Authority refused to do so.  It is this decision of the Authority which led to the petition (by way of side comment it can be noted that the arbitration award was published on the website of the Ministry of Finance).
The petitioner claimed that there are matters mentioned in the arbitration award being matters which are important for a reasonable investor to know and that these are not included in the ICL immediate report concerning that award.  Such matters include, for example, the determination of the arbitrator that the Dead Sea Works acted contrary to the provisions of the license deed in that it did not transfer to the State all the details required in order to calculate the royalties.
Regulation 36 of the Securities (Periodic and Immediate Reports) Regulations, 5730-1970 provides that a company must publish details in a report concerning each event which is likely to have a material influence on the company or on the price of the securities.   The court has interpreted this to mean that there is no obligation to publish insignificant information.   In its judgment, the court found that since judicial decisions (including the arbitration award the subject of the petition itself) are likely to include information which is not material for investors, such information is not required to be published.  In its reasoning, the court mentioned that the legislator imposed a duty to filter information and that the decision as to what constitutes material information and which should be disclosed to investors is for the company to determine.  This filter has to be beneficial to investors, since they will not thereby be exposed to large amounts of unnecessary information but only to such information as is necessary for them.
The court added that the filtering process which the company is required to perform for investors is to be done not only in respect of judicial decisions but also other documents in respect of which the company is required to file a report – agreements, permits, licenses, decisions of the organs of the company, etc.  Also with respect to these documents, the court applies the same rule according to which the company is not required and even is not meant to bring the entire document to the knowledge of the investor (save only in exceptional cases where the entire document is material).
