הצעת חוק הממשלה לתיקון 4 לחוק החוזים האחידים, התשע"א–2010 אושרה לאחרונה בוועדת חוקה, חוק ומשפט. חוק החוזים האחידים, התשמ"ג–1982 חוקק כדי להגן על לקוחות מפני תנאים מקפחים בחוזים אחידים. חוזים אחידים הם צורה נפוצה בעולם העסקי והצרכני לכרות הסכמים בין תאגידים שהם ספקי שירות או מוצר לבין יחידים או תאגידים המהווים ציבור בלתי מסוים של לקוחות. החוק מגדיר חוזה אחיד: "נוסח של חוזה שתנאיו...נקבעו מראש בידי צד אחד כדי שישמשו תנאים לחוזים רבים בינו לבין אנשים בלתי מסוימים במספרם או בזהותם". רוב החוזים בין עסקים לבין צרכנים הם חוזים אחידים. הם נהוגים בבנקים, בחברות הסלולר, בחברות הכבלים והלוויין, בחברות קבלניות, במוסדות לימוד, במכוני כושר ועוד. הם נכרתים כטופס אחיד שנוסחו הוכן מראש בידי צד אחד לחוזה (התאגיד) שהנו הצד החזק בעסקה.
חוק החוזים האחידים הוא חוק צרכני שנועד לאזן קמעה את פערי הכוחות המצויים בין התאגיד והצרכן, ולשם כך קובע שורה של "תנאים מקפחים". תנאי מקפח הוא תנאי שיש בו יתרון בלתי הוגן לעסק ואשר עלול לפגוע בצרכנים. כך למשל בתנאים הקובעים שהספק משוחרר מאחריות משפטית; בתנאים המאפשרים לספק לשנות את הוראות החוזה באופן חד-צדדי לאחר החתימה (למשל את המחיר או השירות); בתנאים הקובעים שלספק יש זכות לבטל את ביצוע החוזה או להשהותו. החוק הקים מנגנון המאפשר לבית הדין לחוזים אחידים ולבית המשפט לבטל או לשנות תנאי מקפח בחוזה אחיד.
תיקון 4 לחוק שאושר לאחרונה לקריאה שנייה ושלישית בכנסת מוסיף חזקה חשובה לרשימת התניות המקפחות בחוזים אחידים. לפי החזקה החדשה, תנאי בחוזה אחיד ייחשב מקפח אם הוא דורש מלקוח להצהיר על מעשה שעשה, על מודעותו לעניין מסוים או על דבר על מה אחר, או לאשר אותו, או להצהיר או לאשר כי קרא את החוזה או כי הוא מסכים לחוזה או לתנאיו. לפי הצעת החוק, חזקה זו נובעת מתוך תפיסה שעל חוזה אחיד להכיל את התחייבויות הצדדים לגופן ולא את הצהרות הצדדים לעניין התחייבויותיהם. בכריתת חוזה אחיד הלקוח מתייחס בדרך כלל לעיקרו של החוזה, למשל לשירותי הבנקאות שהוא מקבל ומחירם או למחירו של נכס מסוים, והוא אינו מצוי בחוזה האחיד לפרטיו, ועל כן אינו יכול לאשר או להצהיר על דבר מה שמצוי בחוזה האחיד או הכלול בו, או על הבנתו ביחס לתנאיו. במרבית המקרים מדובר בחוזה מורכב וארוך אשר אף אם הלקוח יקרא את כולו, הוא לא יוכל לרדת לסוף משמעותם של חלקים נרחבים מהחוזה ולכן אין משמעות אמתית לפסקת ההצהרות.
נושא נוסף שמתקנת הצעת החוק הוא אישור מוקדם של חוזה אחיד בבית הדין לחוזים אחידים בידי הספק. לפי סעיף 12 לחוק, הספק רשאי לפנות לבית הדין ולקבל אישור כזה לתקופה של עד חמש שנים. משמעותו של אישור חוזה אחיד היא שריונו מפני טענת קיומו של תנאי מקפח בחוזה האחיד בתביעות עתידיות. המחוקק מבקש כעת להחליף הליך זה בהליך בדיקה של תנאים מקפחים בחוזה אחיד לבקשת הספק, שתאושר רק במצבים שבהם קיים עניין ציבורי מיוחד המצדיק את קיום הליך הבחינה ולאור השיקולים הבאים: האם חלק ניכר מלקוחות הספק הם צרכנים; אופי פעילותו של הספק, לרבות היותו בעל מונופולין; סוג השירות או המוצר נושא החוזה או היקפו; חיוניות השירות או הנכס אשר מספק הספק. המחוקק מסביר שינוי זה ומציין כי חוזים אחידים שהוגשו לאישור לבית הדין אינם בהכרח אלה שראוי היה שייבחנו על ידו, מנקודת המבט של האינטרס הציבורי: הליך האישור מתחיל ביוזמת הספק, הפועל ממניעיו שלו. לכן עדיף למקד את משאבי המערכת והגורמים המוסמכים בה בהגשת בקשות לביטול תנאים מקפחים בחוזים אחידים מטעמם של צרכנים.

A government legislative proposal for Amendment 4 to the Standard Contracts Law, 5771-2010, was recently approved in the Knesset Law and Justice Committee. The Standard Contracts Law, 5743-1982 was enacted in order to protect customers against unduly disadvantageous conditions in standard contracts.  Standard contracts are a common form in the consumer business world and conclude agreements between companies providing products or services and individuals or companies which comprise non-specific public customers.  The law defines a standard contract as: 'the text of a contract, … the conditions of which were determined in advance by one party, in order to serve as conditions of many contracts between him and persons undefined as to number or identity'.  The majority of the contracts between businesses and between consumers are standard contracts. They are commonly used in banks, cellular companies, in the cable and satellite companies, contractor companies, educational institutes, gyms, etc. These contracts are made as a single form, whose text was prepared in advance by one party to the agreement (the entity) which is the strong party in the transaction.
The Standard Contracts Law is a consumer law which was designed to balance the disparity of the bargaining strength between the entity and the consumer, and to that end it determined a list of conditions which are 'unduly disadvantageous'. An unduly disadvantageous condition is one which involves an undue disadvantage to customers or an unfair advantage to the support which is likely to harm to the customer.  These include, for example, conditions which provide that the supplier is released from legal liability; those which enable the supplier to change the provisions of the agreement unilaterally after it has been signed (for example as to the price or the service); those which provide that the supplier is entitled to terminate the performance of the agreement or to suspend it.  The law provides a mechanism enabling the Standard Contracts Tribunal and the Court to annul or to amend such unduly disadvantageous conditions in a standard contract.
Amendment 4 to the Law, which was recently approved for 2nd and 3rd readings before the Knesset, adds an important presumption to the list of conditions presumed to be unduly disadvantageous in standard contracts.  According to the new presumption, a condition in a standard contract will be deemed to be unduly disadvantageous if it requires the customer to make a declaration as to any act committed, or as to such customer's knowledge concerning a certain matter or as to any other matter, or to approve it or to declare or confirm that such customer read the contract or that the customer agrees to the contract or its conditions. According to the legislative proposal, this presumption derives from the idea that a standard contract should contain the obligations of the parties within it and not declarations of the parties regarding their obligations.  At the time of entering into a standard contract, the customer generally relates to the principles of the contract, for example, the banking services the customer is to receive and their price or the price of a specific asset, and the customer does not   go into the details of a standard contract.  Accordingly, the customer cannot confirm or declare what is in a standard contract or the contents thereof or confirm or declare such customer's understanding concerning its conditions. In most cases, the contract is complex and long such that even if the customer reads it all, the customer cannot get to the bottom of the substance of large parts of the contract and therefore there is no real meaning to a provision requiring the customer's declaration.
Another subject that the legislative proposal amends is receipt of the prior approval of a standard contract by the Standard Contracts Tribunal by a supplier.  According to section 12 of the Law, the supplier is entitled to approach the Tribunal to obtain such approval for a period of up to 5 years.   The effect of an approval of a standard contract is its standing when claims are made in the future as to unduly disadvantageous conditions in such contract. The legislature is now asking to replace this procedure with a procedure for checking unduly disadvantageous provisions in a standard contract, at the request of the supplier and in respect of which approval will only be given in cases where there is a public interest which justifies the going through the evaluation procedure and in light of the following factors: whether a main part of the customers of the supplier are consumers, the  nature of the operations of the supplier – including whether it is a monopoly, the type of services or products covered by the contract or within its scope, the necessity of the services or goods which are supplied by the supplier.  The legislature explains this change and mentions that standard contracts which are presented to the Standard Contracts Tribunal for approval are necessarily those which should be examined by it from the point of view of the public interest: the approval procedure is started at the initiative of the supplier, who acts in its own interests.   Therefore, it is preferable to focus the resources of the system and the authorized bodies in obtaining applications from the consumers to set aside unduly disadvantageous conditions in standard contracts.
