Unusable "Shell" Stage Property Will Not Be Subject To Property Tax

רקעחברת גב ים לקרקעות בע"מ הקימה בניין ברחוב שנקר 13 בהרצליה. בקומת הקרקע של הבניין נותר שטח בגודל של 883 מ"ר (להלן: הנכס) שלגביו טענה החברה כי הוא נמצא בשלב "מעטפת", קרי ללא תשתיות חשמל, ריצוף, חלוקת חדרים וכד', וכי הוא טרם הושכר לצד ג'. באמצע שנת 2008 שלחה עיריית הרצליה הודעה לחברה ובה דרישת תשלום ארנונה בגין הבניין כולו. החברה ענתה בתגובה כי אין לחייב אותה בארנונה בגין הנכס ואף הגישה השגה בעניין. מנהל הארנונה השיב כי מדובר בבניין חדש שבנייתו הסתיימה ואין בעיכוב ביצוע עבודות גמר כדי לאיין את החיובים בארנונה. אף ועדת הערר קבעה כי הבניין הושלם וכי יש לשלם בגינו ארנונה. לפיכך פנתה החברה לבית המשפט לעניינים מינהליים.

בית המשפט לעניינים מינהליים פסק לטובת חברת גב ים, וקבע, בהתבסס על הלכת "המגרש המוצלח" כהגדרתה להלן, כי כל עוד עמד הנכס במצב של מעטפת לא הייתה רשאית העירייה לחייב את המחזיק בארנונה, שכן אין מדובר בבניין כהגדרתו בפקודת העיריות. על פסק דין זה הגישה העירייה בקשת רשות ערעור לבית המשפט העליון. 

החלטת בית המשפט העליון: סעיף 269 לפקודת העיריות קובע כי בניין הוא כל מבנה שבתחום העירייה או חלק ממנו. סעיף 330 לפקודת העיריות קובע שכאשר נהרס בניין שמשתלמת עליו ארנונה או שניזוק במידה שאי אפשר לשבת בו, מחזיק הבניין לא יהיה חייב בשיעורי ארנונה נוספים, לתקופת הפטור. יש להקיש בעניין זה מהלכת "המגרש המוצלח" שנידונה בבית המשפט העליון בעניין בניין שאינו ראוי לשימוש, בגינו אין לגבות ארנונה (בר"ם 5711/06), ולפיה הדרך לבחון האם בנייתו של בניין הושלמה היא רק באמצעות המבחן האובייקטיבי שבודק האם במצבו הנוכחי ראוי הנכס לשימוש אם לאו. אין משמעות לעובדה שהמחזיק בנכס יכול להשמיש אותו בעלות סבירה, מבחינת דיני הארנונה הכללית. מבחן זה, המכונה מבחן הכדאיות הכלכלית, אינו רלבנטי. לפיכך, יכול המחזיק לבחור להמשיך ולהותיר את הנכס במצב שהוא איננו ראוי לשימוש, וכל עוד יעשה כן לא יחוב בארנונה. בית המשפט העליון קבע כי דברים אלה נכונים גם כאשר מדובר בנכס שהיה שמיש אך ניזוק, וגם כאשר מדובר בנכס שבנייתו טרם הושלמה. 

כאשר מדובר בחיוב ראשון בארנונה, לגבי נכס הנמצא בהקמה, מציין בית המשפט, מבלי שיהא בכך כדי לקבוע מסמרות בעניין, כי הוא סבור שהנטל להוכיח כי בניית הנכס הושלמה מוטל על העירייה, ולא על הנישום המחזיק בנכס. 

בית המשפט מתייחס גם לשאלה מתי תינתן רשות ערעור על החלטה של רשות מנהלית וקובע כי זו תינתן כאשר מתעוררת שאלה משפטית החורגת מעניינם הישיר של הצדדים למחלוקת.

התוצאה היא שהבקשה נדחתה.

BackgroundGav Yam Real Estate Ltd. has built a building on 13 Shenkar Street, Herzliya. On the ground floor of the building there remains an area of some 883 square meters (hereinafter: the 'property') which the company claimed is in "shell" mode, i.e. without electricity, flooring, division of rooms, etc., and which not yet been rented to a third party. In mid-2008 the Herzliya Municipality sent a notice to the company demanding payment of property taxes with respect to the entire building. The company said in response that it does not owe property tax for the property and filed an appeal in the matter. The Municipal manager said that the new building was complete and that delay in execution of final works cannot negate the property tax charges. The appeals committee also determined that the building was complete and therefore taxes must be paid. Accordingly, the company appealed to the Administrative Court.

The Administrative Court ruled in favor of the company and determined, based on "successful yard" case (as defined below), that as long as the property was in the shell stage it was not permitted to require the holder to pay municipal property tax, since this is not a building as defined in the Municipalities Ordinance. Based on this judgment, the Municipality filed for leave to appeal to the Supreme Court.

Supreme Court Decision: Section 269 of the Municipalities Ordinance states that a building is any structure within the Municipality or part of it. Section 330 of the Municipalities Ordinance provides that when a building subject to property tax is destroyed or damaged, so that it cannot be dwelled in, the holder of the building will not have additional property tax rates, for the exemption period. In this matter the "successful yard" case-law of the Supreme Court should be adopted.  According to that case-law, a building that is not fit for use will not be subject to taxes (CAM 5711/06), and the way to examine whether the construction of the building is complete is only by an objective test that checks whether the property in its current state can be properly used or not. There is no significance, in terms of the general municipalities law, to the fact that a property holder can turn it into being usable at a reasonable cost. This examination, called the economic viability test, is not relevant. Thus, the holder can choose to continue to keep the property in a state that it is not fit for use, and as long as he does so, he will not be subject to property tax. The Supreme Court held that these dicta hold true not only when the property was usable then damaged, but also when the property building is unfinished.

When it comes to first charge of property tax, in relation to property under construction, the Court notes - without having to necessarily give a final ruling on the matter - that the burden to prove that the property was complete is on the Municipality, not the taxpayer holding the asset.

The Court also refers to the question when should it give leave to appeal a decision of an administrative authority and determines that it will be given when a legal question arises that exceeds the direct concern of the parties to the dispute.

The result is that the request was denied.
